By-Laws

Article 1 The name of this association shall be Brookline Library Music Association.

Article 2 The purpose of the association shall be to stimulate an interest in, knowledge of and enjoyment of music by the public through use of the facilities of the Brookline Public Library.

The association is organized exclusively for charitable and educational purposes within the meaning of section 501(c) (3) of the Internal Revenue Code, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Article 2a The association’s assets shall be permanently dedicated to the exempt purpose set forth in Article 2. No part of the net revenues of the association shall inure to the benefit of, or be distributable to its members, directors, officers or other private persons, except that the association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article 2 hereof. No substantial part of the activities of the association shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the association shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.

Article 2b Upon the dissolution of the association, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

Article 3 Any resident of Brookline, or any non-resident holding a Brookline Library card is eligible for membership in the association. There shall be no barriers to membership.

Article 4 This association shall be governed by a board of directors which shall consist of the officers of the association, the Librarian of the Brookline Public Library, and six others or more. Directors and officers shall be chosen by vote of the members at the annua1 meeting and shall serve for one year and until their successors shall be chosen and qualified. The board of directors shall have full power and authority to conduct the affairs of the association.

The board of directors will produce an annual series of free concerts at the Library for residents of Brookline and neighboring communities. These concerts will provide performance opportunities for young professional musicians in the Boston area. Although primarily classical in nature, they may also freature other musical styles such as jazz, folk, and world music. The board shall appoint a Program Committee .which will select the performers for each year’s concert series, based on recorded and printed material submitted by applicants.

The board of directors may create and empower other committees for such purposes as it may from time to time deem advisable, and may, at its pleasure, discharge such committees. It may prescribe the payment of dues and the amount thereof as a qualification for membership.

The association may, at the discretion of the board of directors, undertake fund raising activities including, but not limited to, a contribution display at concerts, an annual solicitation for members’ dues and contributions, and an annual benefit concert.

Article 5 The officers of the association shall be a President, a Vice President, a Secretary and a Treasurer. The President shall be the chief executive and shall preside at meetings of the members of the association and at meetings of the board of directors and shall perform such other duties as the board of directors shall prescribe. In case of the absence or incapacity of the President, the Vice President shall perform the duties of the President. The Vice President shall perform such smuch other duties as the board of directors shall prescribe.

The Secretary shall keep or cause to be kept minutes of all meetings of the Members and of the board of directors, shall notify all officers and directors of their election, shall have custody of the records of the association, shall notify the directors of the meetings of the board, and shall perform such other duties as the board of directors shall prescribe.

The Treasurer shall collect and receive all monies due the association, and shall have custody of its funds. The Treasurer shall deposit and disburse the funds of the association as the board of directors shall prescribe. The fiscal year of the association shall begin July 1 and end June 30.

and The Treasurer shall render an annual report accounting for his receipts and expenditures at the annual meeting. The Treasurerand shall perform such other duties as the board of directors shall prescribe.

Article 6 The annual meeting of the members of the association shall be held at such time and place as the board of directors shall designate. Notice of the annual meeting of members of the association shall be posted upon the bulletin board of the Brookline Public Library, main office, not less than 30 days before the meeting, specifying the date, time and place and purposes thereof, and additional notice of such meeting shall be given as the board of directors may prescribe. Other meetings of the members may be held as the board of directors shall prescribe; and the board of directors shall call a meeting of the members within two months of receipt of a petition signed by not less than 25 members and specifying the subject matter to be considered at such meeting. Notices for meetings of the members shall be given as the board of directors may prescribe.

Article 7 Not less than 30 days before the annual meeting, the President, with the approva1 of the board of directors, shall appoint a nominating committee to present for nomination at the annual meeting a list of candidates for each office and for membership on the board of directors for the ensuing year.

Additional nominations may be made at the meeting from the floor by any member provided the consent of the nominee to be so nominated is submitted in person or in writing at that meeting. Election shall be by ballot and the candidate for each office receiving the highest number of votes of cast by those members present and eligible to vote shall be declared elected.

Article 8 The board of directors shall meet at such times and places as it may specify, but it shall meet at least once in each four months. If any director or officer shall be unable to act, the board of directors may declare the position vacant and appoint a replacement to serve until the next annua1 meeting of the members.

Article 9 A quorum for business of the board of directors shall be not less than 5. A quorum for meetings of the members shall be not less than 10 members. The vote of a majority of those present and entitled to vote at meetings of the members and at meetings of the board of directors shall be decisive except as otherwise specified by the by-laws.

Article 10 These by-laws may be amended by a vote of two-thirds of those members present and qualified to vote at the annual meeting or at such other meeting of the members as shall be held pursuant to notice posted upon the bulletin board of the Brookline Public Library, main office, and given in such additional manner as the board of directors may prescribe, which notice shall contain a brief description of the proposed change and shall be given not less than 30 days before the date of the proposed meeting.

The mission of the Brookline Library Music Association is to produce an annual series of free concerts at the Brookline Library for residents of Brookline and neighboring communitites, and thereby to provide performance opportunities for young professional musicians in the Boston area.
